Welcome to the Trade Licks Partner Program (the "Program"). This Agreement contains the complete terms and conditions that apply to an individual's or entity's participation in the Program. As used in this Agreement, "we," "us," or "Trade Licks" means Trade Licks, and "you," "your," or "Partner" means the applicant.

By submitting an application to join the Program, you are confirming that you have read this Agreement and agree to be bound by its terms and conditions.

1. Enrollment in the Program

To begin the enrollment process, you must submit a complete and accurate Program application. We will evaluate your application in good faith and will notify you of your acceptance or rejection. We may reject your application at our sole discretion, for any reason, including if we determine that your website or promotional methods are unsuitable for our Program.

2. Partner Responsibilities

As a Partner, you agree to the following:

• Promotion: You will use the referral links, coupon codes, and marketing assets we provide to promote Trade Licks. You are encouraged to use your own content but must ensure it is professional and accurate.
• Ethical Conduct: You will conduct yourself in an ethical and professional manner. You will not engage in any form of spamming (unsolicited commercial email), fraudulent activities, or any practice that could harm the reputation of Trade Licks.
• Disclosure: You must clearly and conspicuously disclose your affiliate relationship with Trade Licks in all promotions. This disclosure must comply with all applicable laws and regulations, including the Federal Trade Commission (FTC) guidelines. A statement such as "As a Trade Licks Partner, I earn from qualifying purchases" is required.
• No False Claims: You will not make any false, misleading, or exaggerated claims about Trade Licks, its products, or its services. All information you provide must be accurate and truthful.
• Prohibited Activities: You are strictly prohibited from:
  • Bidding on keywords containing "Trade Licks" or any variations/misspellings in any pay-per-click (PPC) advertising campaigns.
  • Referring yourself or creating accounts through your own affiliate link to generate commissions.
  • Holding more than one partner account.
  • Promoting your coupon code on "coupon-only" or discount aggregator websites. We reserve the right to deactivate any coupon code found on such sites and forfeit related commissions.
  • Using "Click-to-Reveal" or similar deceptive tactics to force cookies on users.

3. Commission & Payment

• Trial Conversions: Commissions are only generated once a referred user successfully completes their 7-day free trial and their first paid billing cycle is successfully processed. No commission is earned on the free trial period itself.
• Commission Structure: Commissions are earned as a percentage of the net subscription fees paid by customers you refer ("Qualified Purchases"). Commissions are paid on a recurring basis for as long as the referred customer maintains their continuous, active, paid subscription. If a referred user cancels their subscription and resubscribes at a later date without using your link, commission attribution will be reset.
• Commission Tiers: Your commission rate is determined by the number of active, paid subscribers you have referred, as detailed on the official Partner Program page. We reserve the right to modify the commission structure upon providing notice to our Partners.
• Qualified Purchase: A Qualified Purchase occurs when a new customer signs up for a paid Trade Licks plan (Pro or Premium) through your unique referral link or by using your assigned coupon code, and makes a successful, non-fraudulent payment. Commissions are not paid on refunded purchases, chargebacks, or on any taxes or processing fees.
• Payouts:
  • Commissions are subject to a 30-day holding period after the date of the customer's payment to account for potential refunds.
  • Once a commission has passed the 30-day holding period, it becomes "Available for Payout."
  • A minimum balance of $100.00 USD in "Available for Payout" commissions is required to request a payout.
  • Payouts must be requested by the Partner through the Partner Dashboard and will be processed by Trade Licks to the Wise email address on file.
• Bonuses: From time to time, Trade Licks may offer performance bonuses (e.g., Fast Start, Milestones). The specific terms and eligibility for these bonuses will be communicated separately and are awarded at the sole discretion of Trade Licks.

4. Tracking & Attribution

• Referrals are tracked using cookies and coupon codes. A cookie is placed on the user's browser for 60 days after they click your referral link.
• The Program operates on a "last-click" attribution model. The last Partner link a customer clicks before purchasing will receive credit for the referral.
• You are solely responsible for ensuring that your referral links are set up correctly to qualify for commissions.

5. Relationship of Parties

You are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You are solely responsible for all tax obligations, if any, due to all taxing authorities arising from or in connection with your participation in the Program.

6. Termination

Either you or we may end this Agreement at any time, with or without cause, by giving the other party written notice.

• We may terminate your participation in the Program immediately if we determine, in our sole discretion, that you have violated any of the terms of this Agreement.
• Minimum Activity: To maintain an active partner status and retain your complimentary Premium account, you are required to generate at least one (1) new paid referral within any 30-day period. If this requirement is not met, your Partner account may be flagged as "Dormant," and your complimentary Premium access will be reverted to a standard plan.
• Upon termination, you will immediately cease using and remove all of our links, logos, and marketing materials.
• Commissions earned and cleared prior to the termination date will be paid in the next payment cycle. Commissions that are still in the 30-day holding period at the time of termination will be forfeited.
• If your account is terminated for a violation of these terms (including inactivity), you will forfeit all unpaid commissions.

7. Modification

We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. We will notify you of any significant changes via email or by posting a notice in the Partner Dashboard. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Program following our posting of a change notice will constitute binding acceptance of the change.

8. Disclaimers & Limitation of Liability

We make no express or implied representations or warranties regarding the Trade Licks service and website or the products or services provided therein.

We will not be liable to you with respect to any subject matter of this agreement under any contract, negligence, tort, strict liability or other legal or equitable theory for any indirect, incidental, consequential, special or exemplary damages.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.
